Please read these “Terms of Services” carefully before using our Application and Services, as this “Terms of services” is legally binding contract between you and “Smartkalls” Application(Doing Business As or Trade Name: “Smartkalls”, own and operated by Media Routes Inc). “Smartkalls” is duly incorporated under the Canadian and other Applicable international law.

Your access and use of our Application or the Services constitutes your agreement to these “Terms of Services”, and our “Privacy Policy”. So, please be sure to carefully read all of said terms, including all “Smartkalls’s Policies sections before using this Application. If you do not agree to these terms, you may not use the “Smartkalls” Application.

The use of any terms such as, “We”, “Our”, “Us” “it’s” etc., in this “Terms of Services” will deemed to be representation of “Smartkalls” Application. Also use of any term such as, “You”, “Your”, “They”, “Their” etc. will deem to be representation of users of the “Smartkalls”

Services Description:

“Smartkalls” is a voice offload solution Application for many types of service providers to extend communications to their subscribers. For Mobile Network Operators and Telecoms, “Smartkalls” offers a voice offload solution. It installs on subscribers mobile phones and can be integrated with their 3G or 4G network. With “Smartkalls”’s voice offload solution, Mobile Operators and Telecoms can deliver IP based communication to their subscribers, resulting in a seamless user experience with low costs and higher Quality of Service.

Also for Voice over IP operators, “Smartkalls” is a complete dialer Application. Integrated mediation Application provides full lifecycle sign up process with SMS or Email confirmation. Subscribers can make outgoing calls using your soft switch and can receive incoming calls on their mobile phones.

Use of the Services:
Your installation of our Application or any use of our Application indicate your acceptance of these “Terms of Services” and our “privacy policy” , which will constitute a contract between you and “Smartkalls”, and this “Term of Services” will be legally binding on you. We reserve the right to correct, edit, change or update information on our Application without any prior notice.

Eligibility to use our Application and Services
To use “Smartkalls” Application you must be at least 13 years old. If you are under the ages of 13, you may use our Application or services only with the supervision and consent of a parent or guardian. No individual under these age limits may use the Services, provide any Personal Data to Under “Smartkalls”, or otherwise submit Personal Data through the Services (e.g., a name, address, telephone number, or email address).
Registration & Password Usage
All users must need to register or create an account in order to use the Application. The user may register or signup into “Smartkalls” by using through direct custom registration form or through social media plugin like Twitter, Goggle or Facebook etc. In no way we are not affiliated with Facebook, Google or Twitter. Also by register or signup with “Smartkalls” Application you are also agreeing to be bound by these “Terms of Services”. You expressly agree that use of this Application is solely at your own risk. Your use of the “Smartkalls” is subject to all Applicable local, state, national and international laws and regulations.
You are responsible for maintaining the confidentiality of your information and password. You shall be accountable for all uses of your registration, whether or not authorized by you. You agree to notify “Smartkalls” immediately of any unauthorized use of your registration or password. You agree to allow “Smartkalls” to send communications to the email address you provide when you sign up and agree to the “Terms of Service”.
Charge and Payment process:
Charges
Calling phones and premium rate numbers with “Smartkalls” Credit:
Calling landlines and mobiles: The charges payable for calling phones (outside of a subscription) consist of a connection fee (charged once, per call) and a per-minute rate as set out on www.smartkalls.com . All calls will be disconnected and require a re-dial after a 4-hour duration and an additional connection fee will be charged on re-dial.
Premium rate numbers: The charges payable for calling premium rate numbers consist of a per-minute rate available at www.smartkalls.com . No connection fee is payable.
“Smartkalls” may change the rates for calling phones and premium rate numbers at any time without notice to you by posting such change at www.Smartkalls.com website. The new rate will apply to your next purchase after the new rates have been published. Please check the latest rates before you make your call. If you do not accept the new rates, do not make your call.
The duration of a call shall be based on one-minute increments. Fractions of minutes will be rounded up to the next minute. The connection fee, where applicable, will be charged at the beginning of the call.During the call, charges incurred will be deducted automatically from the “Smartkalls” Credit balance in your User Account.
Charges for other Paid for Products: The charges for other Paid for Products will be confirmed to you before you complete a purchase from “Smartkalls”. “Smartkalls” may change the charges payable for the purchase of such Products at any time without any notice to you. You can choose whether or not to accept the new charges prior to completing your next purchase of the applicable Product. The new charges will apply to your next purchase after the new charges have been published.
Promotional Offers: From time to time, “Smartkalls” may offer Paid-For Products for free for a trial period. “Smartkalls” reserves the right to charge you for such Products (at the normal rate) in the event that “Smartkalls” determines (in its reasonable discretion) that you are abusing the terms of the offer, including if you are using any service, proxy or other devices or anonymous IP address that prevents us from locating you.
Third-Party Charges: Using the Application on mobile applications will use some of the data allowance available on the data package to which you have subscribed with your mobile network operator. Out-of-country usage may lead to significantly higher costs than regular usage, and you are solely responsible for keeping yourself informed and paying for possible roaming and other applicable charges levied by your mobile network operator.
No substitute for 911 dialing.

Payment Process
“Smartkalls” Credit. You can pay for select Paid-For Products using “Smartkalls” Credit. You can purchase “Smartkalls” Credit using any payment method made available to you by “Smartkalls” from time to time. The “Smartkalls” Credit that you purchase will be credited to your User Account at the time of purchase (or if you are using a “Smartkalls” Credit voucher, at the time you redeem that voucher).
Inactive “Smartkalls” Credit. If you do not use your “Smartkalls” Credit for a period of 180 days, (including “Smartkalls” Credit that has been allocated to you by a “Smartkalls” Manager administrator) “Smartkalls” will place your “Smartkalls” Credit on inactive status. You can reactivate the “Smartkalls” Credit by following the reactivation link in My Account at https://smartkalls.com/my-account/. Reactivated “Smartkalls” Credit is not refundable. If you are located in Japan and you buy “Smartkalls” Credit from the “Smartkalls” Website, this paragraph does not apply to you and your “Smartkalls” Credit shall expire 6 months from the date of purchase. You are not permitted to use any “Smartkalls” Credit on or after the date of its expiry.
Other payment methods. ”Smartkalls” does not guarantee that you will be able to use your “Smartkalls” Credit balance to purchase all Products. Where “Smartkalls” Credit cannot be used to pay for a Product, “Smartkalls” will make another payment method available to you. “Smartkalls” reserves the right to remove or amend the available payment methods at its sole discretion.
Recurring Payments. Where you purchase Products on a subscription basis (monthly, every 3 months or annually (as applicable)), you acknowledge and agree that this is a recurring payment and payments shall be made to “Smartkalls” by the method you have chosen at the recurring intervals chosen by you, until the subscription for that Product is terminated by you or by “Smartkalls”.

Auto-Recharge: The Auto-Recharge feature will be automatically enabled when you buy “Smartkalls” Credit, unless you untick the appropriate box. Your “Smartkalls” Credit balance will be recharged with the same amount and by the same payment method chosen when you first sign up for Auto-Recharge, unless you subsequently change the amount by accessing your User Account. For example, if you purchase 10 Euros of “Smartkalls” Credit with your credit card, the recharge amount charged to your credit card will also be 10 Euros of “Smartkalls” Credit. In future the same amount will be charged to your credit card every time your “Smartkalls” account balance goes below the threshold set by “Smartkalls” from time to time. If you do not want to enable Auto-Recharge, please untick the box. If you purchased a subscription with a payment method other than credit card or PayPal and you have enabled Auto-Recharge, your “Smartkalls” Credit balance will be recharged with the amount necessary to purchase your next recurring subscription. You can disable Auto-Recharge at any time by accessing your User Account.

Refund Policy

When you purchase Paid-For-Products directly from “Smartkalls” you will be entitled to a cancellation period of fifteen (15) days (a “Cooling-Off Period”) unless you have made use of the Paid-For-Products in any way, in which case the Cooling-Off Period will be extinguished and your purchase cannot be cancelled or refunded. Outside of the Cooling-Off Period, only subscriptions are refundable unless used or expired.

Expenditure of “Smartkalls” Credit, allocation of a “Smartkalls” Number, or use of any aspect of a subscription amounts to “use” of a Paid-For-Product. You hereby expressly agree that “Smartkalls” Numbers may be allocated before the end of the Cooling-Off Period. The Cooling-Off Period and refunds do not apply to Paid-For-Products that are (i) purchased via a third party partner of “Smartkalls” (please contact the partner directly, who may decide in its sole discretion whether or not to pay a refund), (ii) not directly acquired online from “Smartkalls” (e.g. vouchers or pre-paid cards) (iii) paid for in cash using third party payment methods (such as a cash payment wallet) and (iv) paid for and allocated to your “Smartkalls” Account by a “Smartkalls” Manager administrator. They also do not apply to Membership of “Smartkalls” Developer.

If you believe that “Smartkalls” have charged you in error, you must contact “Smartkalls” within 90 days of such charge. No refunds will be given for any charges more than 90 days old.

“Smartkalls” reserves the right to refuse a refund request if it reasonably believes (i) that you are trying to unfairly exploit this refund policy, for example, by making repetitive refund requests in respect of the same Product; (ii) if you are in breach of these Terms or (iii) if “Smartkalls” reasonably suspects that you are using our Products or Application fraudulently or that your User Account is being used by a third party fraudulently.

Termination or Cancellation of Services
In the following occasion the user account may suspend or lead to terminate your use of our services
You may terminate your relationship with “Smartkalls” at any time and without recourse to the courts by requesting closure of your User Account, ceasing to use the Application, Products and/or “Smartkalls” Websites and cancelling any recurring payments.
”Smartkalls” may terminate its relationship with you, or may terminate or suspend your use of the Application, User Account(s), Products or “Smartkalls” Websites at any time and without recourse to the courts:
if you are in breach of these Terms;
if “Smartkalls” reasonably suspects that you are using the Application, the Products and/or “Smartkalls” Websites to break the law or infringe third party rights;
if “Smartkalls” reasonably suspects that you are trying to unfairly exploit or misuse the refund policy, or any of our policies.
if “Smartkalls” reasonably suspects that you are using our Products, Application and/or “Smartkalls” Websites fraudulently or that your User Account is being used by a third party fraudulently;
if you have purchased “Smartkalls” Credit from an unauthorized reseller;
in respect of a particular Product, on thirty (30) days’ notice if “Smartkalls” decides to cease offering that Product;
Immediately, if required due to a change in laws/regulation by a regulator or authority with a lawful mandate, or by any of “Smartkalls’s partners;
On thirty (30) days’ notice if “Smartkalls” decides to cease offering the Application to users in your jurisdiction generally.
”Smartkalls” shall effect such termination by preventing your access to your User Account, the Application, Products and/or “Smartkalls” Websites (as applicable). We reserve the right to cancel User Accounts that have been inactive for more than one (1) year.

Consequences of Termination:

Upon termination of your relationship with “Smartkalls”: (a) all licenses and rights to use the Application, Products and/or “Smartkalls” Websites shall immediately terminate; (b) you will immediately cease any and all use of the Application, Products and/or “Smartkalls” Websites; and (c) you will immediately remove the Application from all hard drives, networks and other storage media and destroy all copies of the Application in your possession or under your control.

Key Terms of Use:
No Access to Emergency Services:
The Application is not a replacement for your ordinary mobile or fixed line telephone. In particular of these Terms (Applicable to “Smartkalls’s Internet Communications Application only), the Application does not allow you to make emergency calls to emergency services. You must make alternative communications arrangements to ensure that you can make emergency calls if needed.
Neither the Products nor the Application are intended to support or carry emergency calls to any type of hospitals, law enforcement agencies, medical care unit or any other kind of services that connect a user to emergency services personnel or public safety answering points (“Emergency Services”). There are important differences between traditional telephone services and the Products. You acknowledge and agree that: (i) “Smartkalls” is not required to offer access to Emergency Services under any Applicable local and/or national rules, regulations or law; (ii) it is your responsibility to purchase, separately from the Products, traditional wireless (mobile) or fixed line telephone services that offer access to Emergency Services, and (iii) the Application and the Products are not a replacement for your primary telephone service.
Check Restrictions On Use:
In some countries there are restrictions on the use of the Application. It is your responsibility to ensure that you are legally allowed to use the Application where you are located.
You may not and you agree not to:

sub-license, sell, assign, rent, lease, export, import, distribute or transfer or otherwise grant rights to any third party in the Application;
undertake, cause, permit or authorize the modification, creation of derivative works or improvements, translation, reverse engineering, decompiling, disassembling, decryption, emulation, hacking, discovery or attempted discovery of the source code or protocols of the Application or any part or features thereof (except to the extent permitted by law);
Remove, obscure or alter any copyright notices or other proprietary notices included in the Application;
Use the Application or cause the Application (or any part of it) to be used within or to provide commercial products or services to third parties. The foregoing shall not preclude you using the Application for your own business communications, subject to paragraph 4.1 above;
Other than for the purposes of download and installation, use the Application except through your User Account.

Lawful Use:

You must use the Application, Products and “Smartkalls” Websites in accordance with the laws of where you are located. In some countries there are restrictions on the download and use of the Application, Products and/or “Smartkalls” Websites. It is your responsibility to ensure that you are legally allowed to use the Application, Products and/or “Smartkalls” Websites where you are located.

Export Restrictions:

The Application may be subject to international rules that govern the export of Application. You shall comply with all Applicable international and national laws that Apply to the Application as well as end-user, end-use, destination restrictions issued by national governments or similar bodies, and restrictions on embargoed nations.

No Ownership Of Numbers:
If “Smartkalls” allocates to you a “Smartkalls” Number (previously known as “Online Number”) or “Smartkalls” To go Number, you do not own the number or have a right to retain that number forever. “Smartkalls” may need to change or withdraw the number allocated to you from time to time. You will not transfer or attempt to transfer your “Smartkalls” Number or “Smartkalls” To Go Number to anyone else. You must ensure you comply with any allocation requirements displayed when purchasing an “Smartkalls” Number as failure to do so could result in the number being withdrawn.
“Smartkalls” Credit Becomes Inactive After 180 Days:
If you purchase “Smartkalls” Credit please be aware that it becomes inactive after 180 days of inactivity. Please see also paragraph 9.2.

Device Based Required Permissions:

According to your device or selection of the application platform, the following permissions may need for the certain reasons.

For IOS Version

IOS pop up permissions:

Push Notifications (optional): This permission is required to send push notifications to the application in case the “Smartkalls” application is put to sleep when an incoming call comes. If the user denies it, the user will not be able to receive incoming calls if the application has been put to sleep by the operating system.

Access your contacts (optional): This permission is required to read contacts stored in the phone. If the user denies it, then the “Smartkalls” application will not be able to read contacts and the contact list will be empty. Similarly for incoming calls and messages, only phone number will be shown and contact name cannot be shown.

Access your Microphone (required): This permission enables the “Smartkalls” application to use device Microphone. Since “Smartkalls” is a VoIP application, this permission is required.

Play Music (Optional): This permission enables the “Smartkalls” application to play ring tones when an incoming call comes. If this permission is denied, there will be no alert tone when an incoming call comes.

Access Storage (required): This permission enables “Smartkalls” to store its own data and configuration on disk. This permission is required.

Access motion sensor (optional): This permission enables “Smartkalls” application to use proximity sensor. This sensor tells the application when the phone is too close to the ear or human body and disables many touch features and gestures. If this permission is denied, then the call experience will not be optimum.

In addition, “Smartkalls” uses following permissions for which no user consent is required.

Access WI-FI Information: Enables “Smartkalls” application to check internet connectivity

In-App Purchase: Enables “Smartkalls” Application to make in-app purchases

Game Center: It’s a default permission given to all apps.

Access to Microphone(required): This permission enables “Smartkalls” to use the Microphone. Since “Smartkalls” is a VoIP application, this permission is required.

Access to contacts: This permission is required to read contacts stored in the phone. If the user denies it, then the “Smartkalls” application will not be able to read contacts and the contact list will be empty. Similarly for incoming calls and messages, only phone number will be shown and contact name cannot be shown.

Access Call Logs(optional): This permission enables “Smartkalls” application to view call logs. If this permission is denied, then call logs will be empty and user will not be able to click on a previous call log to initiate a new call.

Wake Lock & Device Power: “Smartkalls” can turn on / off the screen through proximity sensor

Foreground Service & Instant App Foreground Service: Enables a thin portion of “Smartkalls” application to stay in foreground to receive incoming calls.

Request Companion Run In Background: Enables “Smartkalls” application to run in background.

Access Network State& Access Wi-Fi State: Enables “Smartkalls” application to check if Wi-Fi is connected or not.

Any personal or commercial use of any content, image, design, logo, videos, trademark, service mark or any other information inserted in this “Smartkalls” are strictly prohibited to any unauthorized person. Any unauthorized use of such content, image, trademark, service mark, logo, icon, graphic, Application and all other information appeared on this site may violate Copyright Act of Canada and other applicable intellectual property law in Canada or other international law relevant and applicable to the users area.

Privacy:
Your privacy is important to us; you can view our Privacy Policy which is linked in the Application description. By using the “Smartkalls”, Application all the policy concerning you or any of our users, will be conduct by our “Privacy Policy”

Prohibited Activities:
In using our Application you must behave in a peaceful, civil, prudent and respectful manner at all times. Moreover, you will not and it is strictly prohibited to:

Collect information about other user which may prohibited and suspicious in nature;
intercept or monitor, damage or modify any communication which is not intended for you;
use any type of spider, virus, worm, Trojan-horse, time bomb or any other codes or instructions that are designed to distort, delete, damage, emulate or disassemble the Application, Products, “Smartkalls” Websites, communication or protocols;
send unsolicited communications (also referred to as “SPAM”, “SPIM” or “SPIT”) or any communication not permitted by applicable law or use the Application, Products or “Smartkalls” Websites for the purposes of phishing or pharming or impersonating or misrepresenting affiliation with another person or entity;
expose any third party to material which is offensive, harmful to minors, indecent or otherwise objectionable in any way;
use the Application, Products or “Smartkalls” Websites to cause or intend to cause embarrassment or distress to, or to threaten, harass or invade the privacy of, any third party; or
use (including as part of your User ID and/or profile picture) any material or content that is subject to any third party proprietary rights, unless you have a license or permission from the owner of such rights; or
collect or harvest any personally identifiable information, including account names, from the Application, Products or “Smartkalls” Websites;
impact or attempt to impact the availability of the Application, Products or “Smartkalls” Websites for example, with a denial of service (DOS) or distributed denial of service (DDoS) attack;
use or launch any automated system, including without limitation, robots, spiders or offline readers that access the Application, Products or “Smartkalls” Websites. Notwithstanding the foregoing, you agree that “Smartkalls” grants to the operators of public search engines permission to use spiders to copy materials from the “Smartkalls” Website for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials. “Smartkalls” reserves the right to revoke these exceptions at any time.
Advertise or solicit other’s copyright information.
Promote fraudulent scheme, get rich quick schemes, online gaming and gambling, cash gifting, work from home businesses, or any other dubious money-making ventures; or
Take part in any activity that in any way deem to be void or illegal under any law.

Limitation on Liability
You acknowledge and agree that your access to and use of the “Smartkalls” is at your own risk. In consideration for providing you with access to the “Smartkalls” Application, you hereby absolutely and unconditionally release and waive from any and all claims, demands, or causes of action of any kind, nature, or description,
All direct or indirect risk related to use of this site is borne entirely by you, the user. “Smartkalls” shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for lost profits, use, goodwill, data loss or other intangible losses, cost of procurement of substitute goods or services, or special, direct, indirect, incidental, punitive, or consequential damages of any kind resulting from the use or the inability to use “Smartkalls” services. In relation to the use of our Application:
We reserve the right to restrict or limit its access or visibility or access to any users at any time.

In no occasion is either party at risk or committed to the next gathering including third parties for any loss benefits, opportunity, business, goodwill or reputation, whether in contract, tort, in regardless of the fact that being educated of the likelihood of any such harms ahead of time.

The liability of “Smartkalls” shall be limited to you or any other person for any direct, indirect, or special damages or losses, resulting from the use or unable to use the Application.

These “Terms of Services” shall be limited to, if any loss or damage arises by the reason of any theft of property belonging to the users or for any loss or damage, in which the Users have any contribution to such loss or damage.

You acknowledge and agree that the “Smartkalls” is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of any other’s rights, including copyrights. If you are dissatisfied with any of the terms of our “Terms of Services” and “Privacy Policy”, the sole and exclusive remedy available to you is to discontinue using our Application.

“Smartkalls” reserves the right, in its sole discretion to investigate and take appropriate legal action against anyone who violates our “Terms of Services” and “Privacy Policy”.
